Joseph Wan –Group Chairman

Mr. Joseph Wan obtained his undergraduate degree from Northwestern University and his MBA from the University of Chicago. Mr. Wan has extensive experience in corporate finance, merger and acquisitions, direct investments and project finance.

From 1978 to 1993, he has held senior positions in Citibank, Hong Kong, (now Citigroup), Credit Commercial de France (now merge with HSBC), First National Bank of Chicago, and Arab Asia International Limited, a Middle East Financial Conglomerate responsible for loan lending, direct investments and asset managements. In 1993, Mr. Wan founded GoldWyn Capital Limited, specialized in M&A advisory, takeovers and IPOs. Starting from 2000, Mr. Wan is only shareholder and chairman of the Baron Group.

Michael Sze -Managing Director (Securities Brokerage Division)

Mr. Sze has over 30 years of experience in the financial and securities field. He graduated with a Master of Laws (LLM) Degree from the University of Hong Kong. He was a former Council Member, Member of the Main Board Listing Committee, Member of the Disciplinary Appeals Committee of the Stock Exchange of Hong Kong Limited and Member of the Cash Market Consultative Panel of Hong Kong Exchanges & Clearing Limited.

He is a Fellow of the Institute of Chartered Accountants in England and Wales, the Hong Kong Institute of Certified Public Accountants and the Association of Chartered Accountants. Mr. Sze is also a Fellow of the Hong Kong Institute of Directors and a Committee Member of the Hong Kong Stockbrokers Association Limited. He has served as a Member of the Insider Dealing Tribunal and the Market Misconduct Tribunal reporting directly to the Financial Secretary of Hong Kong.

David Eaton -Chairman (Canada)

Mr. Eaton is currently the Chairman of Baron Group Canada. He has worked in every aspect of the investment business before structuring transactions to his own account as a financier and investment banker. He is an expert in bringing ventures to the public market through the CNQ, Canada’s new venture Exchange.

Mr. Eaton has structured and participated in numerous IPOs, arranged financing for private placements and for brokered transactions. His expertise lies in introducing capital to opportunity, ideas to financing, management to projects. Through his work he has developed a significant client base which can bring liquidity to share issues and innovative ideas to investors. Mr. Eaton’s experience in real estate, mining, oil and gas and technology financings allow him to effectively arrange private transactions and take companies public in North America. And, from the CNSX, he is able to guide companies as they raise capital in other markets.

Jade Wang -Managing Director (Consulting)

Ms Wang holds a Master of Arts from Nankai University and MBA from the University of Leeds. And she has over ten years Mergers & Acquisitions experience, including asset/debt management. Prior to joining Baron, Ms Wang worked in investment banking with China Cinda Asset Management Corporation, responsible for debt-to-stock swaps, asset and debt restructuring, financial advisory, M&A and syndication. She was responsible for transaction execution, marketing, due diligence and client relations.

Since 2005, Ms. Wang has been working for Baron Group as a financial advisor and integration manager on various mergers & acquisitions projects between China and Europe. During her tenure, she has coordinated China Minmetal’s acquisition of HP Tec (Germany) and the acquisition by Beijing No. 1 Machine Company (subsidiary of Jing Cheng Group Holdings) of Waldrich Coburg GmbH also in Germany. Ms. Wang coordinates and advises businesses in China seeking to list on the Deutsche Börse or on the Hong Kong Stock Exchange. Ms. Wang is currently responsible for:

• Baron Group Beijing office
• Baron Group Research Department

Herrick Lau -Managing Director (Canada)

Mr. Lau is currently the Managing Director of Baron Global Financial Canada Ltd. Mr. Lau previously was Vice President, Corporate Finance in Global Maxfin Capital Inc. and Graydon Elliott Capital Corp. He is also currently the Chief Financial Officer of Copper One Inc. (TSXV: CUO), the Chief Financial Officer and a director of Jayden Resources Inc. (TSXV: JDN), the Chief Financial Officer and a director of Novo Resources Ltd. (CNSX: NVO), a director of ICN Resources Ltd. (TSXV: ICN), the Chief Financial Officer and a director of Vida Ventures Ltd. (TSXV: VDA.P), and the Chief Executive Officer and a director of Kariana Resources Inc. (CNSX: KAA).

Mr. Lau obtained his bachelor and master degrees in Business and Economics from Simon Fraser University and has over 15 years of experience in public company management and corporate finance. Mr. Lau is also a charter holder of the Chartered Financial Analyst designation.

Dr. Lawrence Allan Dick -Director (Natural Resources Department)

Dr Dick is a professional geologist with over 35 years experience in base and precious metals exploration world-wide. He spent over 20 years exploring for copper and gold throughout South America and was credited with major finds at Collahuasi (Chile); Can Can (Chile); Golden Bear (B.C.); and the San Jose silver deposit in Mexico. Dr. Dick was Director of Exploration in Latin America for 17 years with Chevron Minerals, he then went on to consult for SRK and his own consultancy before co-founding General Minerals Corporation (now Sprott Resource Corporation). He then went on to co-found and act as President and CEO of Evolving Gold Corporation. Dr. Dick currently serves on a number of boards, including Timmins Gold Corp, Copper One Inc. and United Mining Group Inc. Dr. Dick joined Baron Group in 2006 and is Chief Geologist and Manager of the Resource Group.

Robert Vincent Perry -Director (Natural Resources Department)

Mr. Perry is a Certified Professional Geologist certified by the American Institute of Professional Geologists and a qualified person as defined by NI 43-101. He received his Bachelor of Arts degree in geology and Master of Science degree in geology from the University of Colorado, USA.

Mr. Perry has over 25 years of experience in mining and exploration of mineral properties working for mineral companies including Atna Resources Ltd., Lupine Mineral Corporation, Aur Resources (USA) Inc., Gold Discovery Company, Vista Gold Corp., Baron Natural Resources Holdings Limited and Orestone Mining Corporation. Mr. Perry is currently a director of Nevgold Resources Corp. and Providence Resources Corporation, and is the Executive Director and Vice President of Exploration and Development of Jayden Resources Inc. (a mineral company listed on TSX).

Ringo Hui -Director (Hong Kong)

Mr. Hui graduated from the London School of Economics with a master degree and a bachelor degree in Management. He began his career with Bates Hong Kong, a 4A's advertising agency account service team with clients such as Nokia, KFC, Wyeth and Simmons. He then moved to a private equity firm based in Hong Kong and helped the listing of a number of public companies including Neo Alliance Minerals Inc. (TSXV: NAM).

He joined the Baron Group in 2007. Mr. Hui is currently the director of Baron Capital Limited in Hong Kong, responsible for cross-border M&A activities, IPO's and other direct investment initiatives.

Dennis Lam -Managing Director (Asset Management Division)

Mr. Lam graduated from Boston University with major in Economics and Mathematics. He received the Master of Arts in Statistics from Harvard University. He is Chartered Financial Analyst and Certified Financial Risk Manager.

Mr. Lam is experienced in Asset Management and Corporate Finance fields. He was key personnel of Asset Management and Corporate Finance team of Franklin Templeton Investments, Baron Capital Limited, Schroder Investment Management (Hong Kong) Limited. Mr. Lam is currently the Managing Director of Baron Asset Management Limited and the head of The Global Options Fund and The Global Options Master Fund.

Alexander Wan - (Asset Management - International Division)

Mr. Wan graduated from the University of California, Berkeley, USA with major in Economics and Management. He has over 20 years in executive managerial role for a broad spectrum of industries including fund management, investment banking, natural resources, biotechnology, and high technologies in both Asia and the USA.

He was Former Head of International Private Banking for Citibank in 11 States of the USA managing a discretionary portfolio of over US$600Million. He was also the Managing Director and Head of Asia Pacific and US West Coast Regions for Bluestone Capital, a New York based global investment banking firm. He has held directorship in several listed companies in Hong Kong, including Managing Director for China Investment Fund Company Limited (612.HK)

Jennifer Wu -Associate Director (Hong Kong)

Ms. Wu graduated from California State University of Los Angeles and possesses a professional qualification of Certified Public Accountant. Ms. Wu was the Associate Director at Tokyo-Mitsubishi UFJ Securities Co., Ltd, where she had executed corporate finance transactions including private equity placement, merger and acquisitions, debt restructuring and refinancing for both private and listed companies. She played a key role in a number of transactions including a US$150 million of debt refinancing for a reputable cable TV company in Taiwan and a HK$100 million bridging loan for a foreign company to acquire 25% equity stake of a pharmaceutical company in China. She had also worked at Ernst & Young, Hong Kong and was responsible for Corporate Finance advisories transactions and as an auditor.
